By accessing and using the services provided by ZenithForge B.V. ("ZenithForge", "we", "our", or "us"), including our website, consultancy services, and any related materials, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and ZenithForge.

ZenithForge provides menu engineering strategy consultancy services to restaurants and food service businesses. Our services include but are not limited to menu cost analysis, menu design and psychology consultation, performance monitoring, pricing strategy development, and related business advisory services. All services are subject to separate service agreements that will specify the scope, deliverables, timelines, and fees for each engagement.

Payment terms will be specified in individual service agreements. Unless otherwise agreed, invoices are payable within 30 days of the invoice date. Late payments may incur interest charges as permitted by Dutch law. We reserve the right to suspend services for overdue accounts. All fees are exclusive of applicable taxes, which will be added to invoices where required.
All intellectual property rights in our methodologies, reports, recommendations, and materials remain the exclusive property of ZenithForge. You are granted a limited, non-exclusive licence to use our deliverables solely for your internal business purposes. You may not reproduce, distribute, modify, or create derivative works from our materials without prior written consent. Any improvements or modifications to our methodologies developed during our engagement shall belong to ZenithForge.
We understand that during our engagement, you may share confidential business information with us. We commit to maintaining the confidentiality of your proprietary information and will not disclose it to third parties without your consent, except as required by law or to provide our services. Similarly, you agree to maintain the confidentiality of our proprietary methodologies and any sensitive information we share with you.
To the maximum extent permitted by law, ZenithForge's total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific services giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities. Our recommendations are based on the information provided and market conditions at the time of analysis, and we cannot guarantee specific business results.
Our services and website are provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. While we strive to provide accurate and helpful recommendations, business success depends on numerous factors beyond our control, and we make no guarantees regarding specific outcomes or results.
You agree to indemnify, defend, and hold harmless ZenithForge and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts of Amsterdam, Netherlands. The parties agree to attempt to resolve any disputes through good faith negotiations before resorting to litigation.
Either party may terminate a service engagement in accordance with the terms specified in the relevant service agreement. We reserve the right to suspend or terminate access to our website and services immediately if you violate these Terms. Upon termination, your right to use our services will cease immediately, but provisions regarding intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions. In such cases, the affected party will notify the other party promptly and make reasonable efforts to mitigate the impact.
We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a new "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms. For significant changes, we may provide additional notice through email or other communications.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
These Terms, together with any specific service agreements and our Privacy Policy, constitute the entire agreement between you and ZenithForge regarding the use of our services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
